Terms and Conditions
Last updated: 12 May 2026
Definitions
For the purposes of these Terms and Conditions, references to "we", "us", and "our" refer to the Platform and the Services made available through it. Where a formal legal reference is required, the operator of the Platform is a company registered in the United Kingdom.
The Company means the entity providing access to the Platform, accepting and managing Client orders, coordinating the provision and delivery of Services, processing payments, and communicating with Clients regarding their orders, except where explicit reference to the operating legal entity is required for legal, regulatory, or contractual purposes.
User or Client means any individual or legal entity accessing the Platform or using the Services, whether acting on their own behalf or on behalf of another person or organisation. A person using the Platform on behalf of a company, organisation, or third party confirms that they have sufficient authority to act on behalf of such entity.
Website means the online platform, including all associated pages, functionalities, tools, calculators, communication interfaces, user account areas, and content made available through it.
Services mean non-certified and non-notarised language services provided through the Platform, including translation, interpretation, transcription, subtitling, proofreading, editing, formatting, localisation, adaptation, and related linguistic services, as made available from time to time. The Services are provided exclusively in digital form and do not constitute legal, governmental, notarial, sworn, or officially certified services unless explicitly stated otherwise.
Service Performer or Translator means an independent third-party professional engaged by the Company to perform all or part of the Services requested by a Client. Service Performers act in their own professional capacity and are not employees, agents, partners, or representatives of the Company. The Company remains responsible for coordinating the delivery process and communication with the Client.
Delivery means the point in time when the completed Services are made available to the Client through the user account on the Platform or are sent to the registered email address associated with the account, whichever occurs first. Delivery shall be deemed completed even if the Client does not immediately download, review, or access the delivered files.
You means the individual accessing or using the Platform or Services, or, where applicable, the legal entity on whose behalf such individual is acting. By using the Platform, you confirm that you are legally capable of entering into binding agreements under the laws applicable in your jurisdiction.
1. Scope and Nature of the Services
The Company provides access to language services exclusively to Users who have completed registration on the Platform and submitted an order through the available ordering system. All Services are performed by independent Service Performers engaged by the Company. The Company does not directly employ in-house translators for the execution of Client orders and does not carry out translation or linguistic work itself, but acts as a central coordinator responsible for the allocation, management, quality coordination, and delivery of each order.
Depending on the nature, urgency, language pair, technical requirements, or volume of the order, certain technical, AI-assisted, or automated tools may be used within the workflow to support efficiency, terminology consistency, formatting, and operational scalability. Such tools are used solely as supporting instruments and do not replace human involvement, assessment, or final review. All outputs remain subject to human review and editorial control prior to Delivery. Where appropriate, the Company may also apply additional internal quality control procedures, including multi-stage review, terminology checks, formatting verification, or consistency assessment before the completed work is delivered to the Client.
Each order is evaluated individually and may vary in subject matter, complexity, urgency, volume, formatting requirements, and language combination. Based on these factors, the applicable price, estimated Delivery timeframe, and technical scope of the Services are determined and presented to the Client prior to order confirmation. Estimated completion times are indicative and may reasonably vary depending on workload, technical issues, clarification requests, file quality, or additional Client instructions. By submitting an order, the Client confirms acceptance of the defined scope, pricing, Delivery conditions, and estimated timing.
In addition to written translation, the Company may provide related language services, including interpretation, voice recording and voice-over services, localisation, subtitling, transcription of audio or audiovisual materials, proofreading, editing, adaptation, and formatting. Certain services may be included within standard offerings, while others may require separate confirmation, additional review, or specific technical requirements communicated before acceptance of the order.
All Services are provided as professional, non-certified, and non-notarised language services intended for informational, commercial, educational, marketing, creative, internal business, or similar use. The delivered output is not suitable for official, sworn, notarised, certified, governmental, immigration, or court-related use unless expressly agreed in writing in advance. The Client remains solely responsible for verifying whether a particular document requires certified, sworn, notarised, or officially recognised translation in the relevant jurisdiction before submitting an order. Subject to these limitations, Clients may use, reproduce, modify, and distribute the delivered materials at their own discretion and responsibility.
The Company operates a structured framework for the selection, assessment, onboarding, and ongoing monitoring of Service Performers, including verification of qualifications, language proficiency, subject-matter experience, quality control procedures, deadline compliance monitoring, and performance-based remuneration mechanisms. The Company may suspend, restrict, or discontinue cooperation with any Service Performer who fails to meet internal operational or quality standards. These measures are designed to maintain consistent service quality, operational reliability, and scalable delivery standards while preserving the independent status of all Service Performers.
2. Acceptance of Terms and Scope
Access to the Platform and use of the Services are subject to these Terms and Conditions, together with any policies, notices, guidelines, disclaimers, or additional documents referenced within them or otherwise made available through the Platform from time to time.
By accessing the Platform, creating an account, submitting files, communicating through the Platform, or placing an order, you confirm that you have read, understood, and agreed to be legally bound by these Terms in their entirety, including any documents incorporated by reference. If you are using the Platform on behalf of a company, organisation, or other legal entity, you additionally confirm that you are authorised to accept these Terms on behalf of such entity.
These Terms apply to all Users, including visitors, Clients, account holders, business customers, and any other individuals or entities accessing or using the Platform or Services in any manner. If you do not agree with any provision of these Terms, you must immediately stop accessing or using the Platform and Services.
Acceptance is strictly limited to the terms expressly set out herein. Any conflicting, additional, or alternative terms proposed by a User, including terms contained in purchase orders, emails, instructions, or other communications, shall not apply unless expressly accepted by the Company in writing.
Any new features, tools, functionalities, workflows, or Services introduced on the Platform shall automatically be subject to these Terms unless explicitly stated otherwise. The most current version of the Terms is made available on the Platform at all times, and continued use of the Platform following publication of updated Terms constitutes acceptance of the revised version.
The Company reserves the right to update, amend, modify, suspend, or replace any part of these Terms, the Services, pricing structure, operational procedures, or Platform functionality at its discretion and without prior notice where permitted by applicable law. It is your responsibility to review the Terms periodically to remain informed of any updates or changes. Where changes materially affect User rights or obligations, the Company may provide additional notice through the Platform, email communication, or account notifications.
3. Automatic Agreement
Continued access to or use of the Platform or Services following any update, amendment, modification, or replacement of these Terms constitutes your binding acceptance of the revised version from the date such changes become effective. If you do not agree with the updated Terms, you must stop using the Platform and Services immediately.
The Company may update these Terms periodically to reflect operational changes, legal or regulatory requirements, security considerations, new functionalities, service modifications, or changes in business practices. Unless otherwise required by applicable law, the Company is not obligated to provide individual notice of every update, and publication of the revised Terms on the Platform shall constitute sufficient notice.
Your continued use of the Platform after updated Terms are published confirms that you have reviewed and accepted the revised version. The latest version of the Terms will always prevail over any previous versions made available on the Platform or referenced in prior communications.
4. Registration and Account Activation
Access to the Services is available only to Users who have completed the registration process on the Platform and created an active user account. Certain functionalities, including order placement, file uploads, communication with support, and access to completed Deliveries, may not be available without registration.
During registration, you are required to provide accurate, complete, and up-to-date information. Depending on the nature of the Services, this may include your full legal name, billing details, email address, contact information, company details, or other information reasonably required for account administration, communication, fraud prevention, or order processing purposes. Where necessary, information provided must correspond to official identification or corporate documentation.
By creating an account, you confirm that all information provided is true, relates to you or the entity you represent, and is submitted in good faith. You further confirm that you are not impersonating another person, using misleading information, or creating an account for unlawful, fraudulent, or unauthorised purposes. Where you act on behalf of a legal entity or another individual, you confirm that you possess the necessary authority and legal capacity to do so.
You are responsible for maintaining the accuracy, completeness, and confidentiality of your account information at all times during your use of the Services. The Company may rely on the information stored within your account for communication, Delivery, invoicing, account verification, dispute handling, and operational decisions.
The Company reserves the right to request additional information, perform verification procedures, restrict account access, suspend ongoing orders, or refuse activation where inaccurate, incomplete, misleading, suspicious, or unverifiable information is identified. Failure to provide requested information within a reasonable timeframe may result in temporary or permanent restriction of access to the Platform or Services.
5. Fraud and Misuse Prevention
The Company reserves the right to take immediate action where it reasonably determines or suspects that an account has been created or used with false, misleading, incomplete, stolen, or fraudulent information, or where any payment, transaction, or activity has been initiated without proper authorisation or in violation of these Terms.
In such circumstances, the Company may, without prior notice, suspend or permanently terminate the account, place ongoing orders on hold, refuse to process current or future orders, restrict access to uploaded materials, cancel Deliveries not yet completed, and deny access to the Platform or Services in whole or in part.
The Company may also take additional measures where reasonably necessary to prevent misuse, unauthorised activity, abuse of the Services, chargebacks, payment disputes, system manipulation, spam activity, mass automated requests, intellectual property violations, or other conduct that may expose the Company, Service Performers, payment providers, or other Users to operational, financial, reputational, or legal risks.
Where appropriate, the Company may request additional verification information, proof of identity, confirmation of payment authorisation, or supporting documentation before allowing continued use of the Platform or processing an order. Failure to cooperate with such requests within a reasonable timeframe may result in account restrictions or refusal of Services.
The Company reserves the right to retain internal records relating to suspected fraud, misuse, abusive behaviour, payment disputes, or security incidents for compliance, risk management, evidentiary, and operational protection purposes, subject to applicable data protection laws.
Any attempt to interfere with the normal operation of the Platform, circumvent internal controls, exploit technical vulnerabilities, abuse promotional mechanisms, create duplicate accounts, or intentionally misuse the Services may result in immediate restriction of access and additional legal or operational action where appropriate.
6. Email Verification and Account Activation
Following registration, a verification link or confirmation message will be sent to the email address provided by the User. The account will be activated only after successful confirmation of that email address in accordance with the verification procedure implemented on the Platform.
Email verification is a mandatory requirement for accessing the full functionality of the Platform, placing orders, receiving completed Deliveries, communicating through account-related features, and maintaining active use of the Services. The Company reserves the right to limit certain functionalities until verification is completed.
You are solely responsible for maintaining the confidentiality, security, and ongoing control of your account credentials, including login details, passwords, authentication methods, and access to the registered email address associated with the account. All actions, requests, uploads, communications, approvals, and transactions carried out through your account shall be deemed to have been authorised and performed by you unless proven otherwise under applicable law.
The Company shall not be liable for any loss, damage, delay, unauthorised activity, disclosure of information, or misuse resulting from your failure to safeguard your account credentials, secure your devices or email account, or maintain proper control over access to your account.
You must ensure that your account is used only by authorised persons and strictly in accordance with these Terms. Account sharing, credential distribution, impersonation, unauthorised delegation of access, or use of another person's account without permission is prohibited.
Any unauthorised use, suspected compromise, loss of credentials, suspicious activity, or security breach affecting your account or registered email address must be reported to the Company without undue delay. The Company may temporarily suspend account access or apply additional verification measures where reasonably necessary to protect the Platform, the User, other Clients, or Service Performers.
The Company reserves the right to suspend, restrict, verify, or terminate access to the Platform or Services where it reasonably believes that account information is inaccurate, incomplete, misleading, outdated, or unverifiable, or where the account is used in violation of these Terms, applicable law, payment provider requirements, or in a manner that may expose the Company to operational, financial, security, reputational, or legal risk.
7. Eligibility and Acceptable Use
By accepting these Terms, accessing the Platform, or using the Services, you confirm that you have reached the legal age of majority in your jurisdiction and that you possess the legal capacity, authority, and right to enter into binding agreements and use the Platform and its Services.
You further confirm that your access to and use of the Platform and Services complies with all applicable laws, regulations, sanctions restrictions, export control requirements, intellectual property rules, and other legal obligations applicable in your jurisdiction or the jurisdiction from which you access the Services.
The Services must be used exclusively for lawful, legitimate, and authorised purposes. You agree not to use the Platform for fraudulent, deceptive, abusive, infringing, defamatory, unlawful, or harmful activities, including any activity that may expose the Company, Service Performers, payment providers, hosting providers, or other third parties to legal, operational, reputational, or security risks.
You are solely responsible for all content, files, instructions, data, materials, and communications submitted through the Platform and for ensuring that you possess all necessary rights, permissions, licences, consents, and legal grounds to upload, process, translate, edit, reproduce, distribute, or otherwise use such content through the Services.
You must not upload, submit, request, transmit, or otherwise make available any content that violates applicable law or third-party rights, infringes intellectual property, copyright, trademark, confidentiality, privacy, or contractual rights, contains malicious code or other harmful elements, is intended to interfere with or damage the Platform or related systems, contains unlawful or intentionally deceptive material, or may reasonably create operational, reputational, compliance, or legal risks for the Company or third parties.
You also agree not to misuse the Platform through automated abuse, mass account creation, credential sharing, unauthorised commercial exploitation, denial-of-service activity, scraping, circumvention of technical restrictions, manipulation of pricing or workflows, or any conduct that interferes with the normal operation, stability, integrity, or security of the Platform and related infrastructure.
Any breach of this section or these Terms may result in immediate suspension or termination of your account, cancellation or refusal of Services, restriction of access to the Platform, retention of relevant internal records for compliance purposes, and additional legal or operational action where appropriate.
8. Prohibited Uses
The use of the Platform and its Services for unlawful, deceptive, fraudulent, abusive, or unauthorised purposes is strictly prohibited. This includes, without limitation, the creation, use, modification, or distribution of false, misleading, manipulated, or fabricated content, participation in fraudulent schemes, preparation of forged or falsified documents, impersonation, identity misuse, and any use of translations or related Services intended to misrepresent facts, mislead institutions, deceive third parties, or circumvent legal or regulatory requirements.
The Services must not be used to produce, distribute, facilitate, or support content that is unlawful, harmful, defamatory, abusive, discriminatory, threatening, exploitative, harassing, deceptive, or otherwise inappropriate under applicable law. This includes content involving hate speech, unlawful threats, incitement of violence, exploitation, unlawful misinformation, or other prohibited conduct.
You must not use the Platform or Services in connection with illegal commercial activity, fraudulent financial operations, sanctions evasion, money laundering-related activity, unauthorised collection or disclosure of confidential information, misrepresentation of identity or authority, or any activity that may expose the Company, Service Performers, payment providers, or third parties to legal, regulatory, operational, or reputational risks.
You must not engage in any activity that infringes intellectual property rights or violates copyright, trademark, confidentiality, privacy, database, or contractual protections. You further agree not to upload or process materials unless you possess the necessary legal rights, licences, permissions, or authorisations to do so.
You must not upload, transmit, introduce, or distribute malicious code, malware, spyware, ransomware, automated exploit tools, scripts, bots, or other harmful technologies that may interfere with the functionality, stability, integrity, or security of the Platform or related infrastructure.
Activities such as spamming, phishing, scraping, crawling, credential harvesting, automated extraction of content, reverse engineering, unauthorised automation, stress testing, or any form of system abuse are strictly prohibited, as is any attempt to bypass technical restrictions, manipulate workflows, interfere with operational safeguards, or compromise the integrity, availability, or proper functioning of the Platform or associated systems.
The Platform must not be used in connection with payment misuse, abuse of refund procedures, or fraudulent financial activity. This includes the use of unauthorised, stolen, or fraudulently obtained payment methods, deliberate manipulation of transaction flows, artificial order creation, abuse of promotional mechanisms, coordinated dispute activity, or any conduct intended to generate unjustified chargebacks, reversals, disputes, or financial losses.
Any behaviour indicating potential abuse of payment systems, banking infrastructure, dispute mechanisms, promotional systems, or operational workflows may result in immediate restriction of Services, suspension of Deliveries, refusal of future orders, limitation of account functionality, or termination without prior notice.
9. Age Restrictions
The Platform and Services are intended solely for individuals who are at least eighteen (18) years of age or who have otherwise reached the legal age of majority required to enter into binding agreements in their jurisdiction. By accessing the Platform, creating an account, placing an order, or using the Services, you confirm and represent that you meet these eligibility requirements.
The Company does not knowingly provide Services to minors or permit the creation or use of accounts by individuals under the age of eighteen (18). Users must not create accounts on behalf of minors or allow minors to access or use the Platform through their accounts.
The Company reserves the right to request reasonable age or identity verification information where necessary to confirm compliance with this requirement. Failure to provide requested verification information within a reasonable timeframe may result in restriction, suspension, or termination of access to the Platform or Services.
The Company further reserves the right to suspend, restrict, or permanently terminate any account that is created, accessed, or used by a person under the age of eighteen, or where it reasonably believes that this requirement has not been satisfied. Such action may be taken immediately and without prior notice where necessary to protect the Company, Service Performers, payment providers, or other Users.
To the maximum extent permitted by applicable law, any payments, completed Services, processing fees, administrative costs, or operational expenses associated with unauthorised or underage use of the Platform may be non-refundable, particularly where Services have already commenced, resources have been allocated, or Deliveries have been completed.
10. User Responsibilities
Users are solely responsible for complying with all applicable tax laws, reporting obligations, accounting requirements, currency control rules, and financial regulations applicable in their jurisdiction in connection with any payments made to the Company or use of the Services. The Company does not provide tax, accounting, legal, or financial advice, and Users remain fully responsible for assessing their own reporting and compliance obligations.
Users are also solely responsible for ensuring that any content, files, instructions, terminology, data, or materials submitted to the Platform, as well as any use, publication, reproduction, transfer, or distribution of the delivered output, complies with all applicable laws, regulations, sanctions restrictions, contractual obligations, confidentiality requirements, and third-party rights.
This includes responsibility for ensuring that the submitted materials may legally be processed and translated, that the User possesses all necessary rights, permissions, licences, and authorisations, that the intended use of the delivered materials is lawful, and that the context, jurisdiction, audience, and distribution of the delivered output do not violate intellectual property rights, confidentiality obligations, court restrictions, regulatory limitations, export controls, or other legal or contractual requirements.
Users remain solely responsible for reviewing and verifying the accuracy, completeness, suitability, and legal appropriateness of delivered materials before relying on, publishing, filing, distributing, or using them for any personal, commercial, administrative, legal, governmental, or operational purpose.
The User acknowledges and agrees that the Company does not independently verify the legality, authenticity, ownership, intended purpose, regulatory suitability, or factual accuracy of materials submitted through the Platform. The Company shall not be responsible for any misuse, unlawful application, misinterpretation, unauthorised distribution, regulatory violation, financial loss, reputational damage, or legal consequences arising from the User's or any third party's use of submitted or delivered materials.
11. Service Limitations and Inherent Risks
The Services are delivered through an operational model involving independent Service Performers and may include the use of technical, AI-assisted, automated, or software-based tools as part of the workflow. As a result, reasonable variations in wording, phrasing, terminology selection, tone, style, formatting, structure, localisation approach, or presentation may occur between different orders, language pairs, translators, or outputs.
Language services inherently involve interpretation, contextual analysis, editorial judgement, and subjective linguistic decision-making. The Client acknowledges that different qualified professionals may reasonably produce different translations, formulations, or stylistic outcomes for the same source material, particularly where cultural adaptation, technical terminology, marketing language, or contextual nuance is involved.
While the Company applies commercially reasonable coordination, allocation, review, and quality control procedures, including human oversight and internal verification processes where appropriate, the Company does not guarantee that delivered materials will be entirely free from linguistic, grammatical, stylistic, contextual, formatting, terminological, or interpretative differences, minor inconsistencies, or subjective editorial variations.
The quality, consistency, and accuracy of the Services may also be affected by factors outside the Company's reasonable control, including unclear instructions, low-quality source materials, corrupted files, incomplete terminology references, ambiguous wording, technical limitations, formatting restrictions, regional language variations, or inaccurate information provided by the Client.
The Client remains responsible for reviewing delivered materials and verifying their suitability, accuracy, terminology, formatting, and intended use before publication, submission, distribution, reliance, or commercial implementation.
12. General Conditions
The Company reserves the right, at its sole discretion, to refuse access to the Platform, decline the provision of Services, reject specific orders, restrict certain functionalities, or terminate existing access relationships where such action is reasonably necessary to protect its operational stability, legal position, payment infrastructure, compliance obligations, commercial interests, security environment, or risk profile.
The Company does not directly collect, process, or store full payment card details. All payment transactions are processed exclusively by independent third-party payment service providers, gateways, or acquiring institutions operating under their own compliance, authentication, fraud prevention, and security frameworks. The Company may receive only limited transactional or tokenised information necessary for payment confirmation, reconciliation, fraud prevention, customer support, or dispute management purposes.
You agree not to reproduce, duplicate, distribute, scrape, copy, mirror, modify, republish, resell, commercially exploit, reverse engineer, or otherwise use any part of the Platform, its workflows, interface elements, content, pricing logic, infrastructure, or Services without the prior written consent of the Company, except where such use is expressly permitted under applicable law.
Headings, titles, and section labels used in these Terms are included solely for convenience and organisational purposes and shall not affect the interpretation, scope, or legal meaning of any provision.
13. Accuracy, Completeness, and Timeliness of Information
All information, descriptions, estimates, pricing examples, timelines, language pair references, service explanations, blog materials, FAQs, marketing content, and other materials made available on the Platform are provided for general informational purposes only. While the Company applies commercially reasonable efforts to maintain the accuracy, consistency, and relevance of such information, it does not represent, guarantee, or warrant that any content available on the Platform is complete, accurate, reliable, current, uninterrupted, or free from errors, omissions, or outdated information at all times.
The information available on the Platform does not constitute legal, financial, tax, regulatory, compliance, certified linguistic, or professional advice and should not be interpreted as a binding offer, guarantee, warranty, or formal commitment unless expressly confirmed by the Company in writing as part of a specific order or contractual arrangement.
Users should not rely exclusively on information published on the Platform when making commercial, legal, financial, regulatory, governmental, technical, or operational decisions and are encouraged to independently verify relevant information through appropriate professional, legal, regulatory, or technical sources where necessary.
Any reliance on information, materials, estimates, recommendations, or content obtained through the Platform is undertaken solely at your own risk and discretion.
14. Modifications to the Services and Prices
The Company reserves the right to change, update, revise, or adjust the pricing of the Services, including pricing structures, discounts, promotional offers, urgency fees, language pair rates, minimum order thresholds, or additional service charges, at any time prior to order confirmation. Prices displayed on the Platform may vary depending on the scope of work, language combination, turnaround time, complexity, formatting requirements, technical specifications, or other operational factors.
Prices presented and confirmed at the time of order placement shall be considered final for that specific order unless the Client subsequently modifies the order scope, source materials, instructions, deadlines, file structure, or requested Services.
The Company may, at its sole discretion and without liability, modify, restrict, suspend, discontinue, replace, or remove any part of the Services, Platform, workflows, functionalities, integrations, language combinations, support features, pricing models, technical tools, or operational processes at any time where reasonably necessary for operational, commercial, technical, security, compliance, legal, or business reasons.
15. Services
The Services are provided exclusively through the Platform in a remote online format and are delivered electronically through the user account, registered email address, or other digital communication methods supported by the Platform. The Company does not provide in-person services unless explicitly agreed otherwise in writing.
The Company may, at its sole discretion, limit, restrict, suspend, refuse, or terminate access to the Services for specific Users, accounts, transactions, industries, geographic regions, or jurisdictions where such action is reasonably necessary for legal, sanctions-related, compliance, operational, technical, commercial, payment-processing, fraud prevention, cybersecurity, or risk management reasons.
The Company does not guarantee that the services, deliveries, translations, interpretations, or any related materials will meet every subjective expectation, stylistic preference, commercial objective, institutional requirement, or intended outcome, be suitable for a specific regulatory, governmental, certified, legal, or official purpose, or be accepted by any third party, authority, institution, customer, employer, court, or governmental body.
16. Accuracy of Billing and Account Information
The Company reserves the right, at its sole discretion, to refuse, limit, place on hold, review, or cancel any order, transaction, account activity, or access to the Services where this is reasonably necessary for operational, compliance, fraud prevention, payment security, legal, or risk management purposes.
By using the Services, you agree to provide accurate, complete, current, and verifiable billing, payment, account, and contact information for all transactions and interactions with the Platform. You further agree not to use false identities, misleading billing information, unauthorised payment methods, or payment details belonging to third parties without proper authorisation.
You are solely responsible for maintaining current and correct account details, including your email address, billing information, contact details, and any other information necessary for proper account administration, transaction processing, Delivery of Services, identity verification, security checks, dispute handling, and communication with the Company.
17. Third-Party Websites and External Links
The Platform may include links to, integrations with, or references to third-party websites, applications, platforms, software, tools, or services that operate independently from the Company. Such links or references are provided solely for convenience, technical functionality, operational support, or informational purposes and do not constitute endorsement, approval, recommendation, partnership, guarantee, or any form of affiliation unless explicitly stated otherwise.
The Company does not own, operate, monitor, or control third-party services and assumes no responsibility or liability for their availability, functionality, security, legality, reliability, or accuracy, or for any losses, damages, interruptions, security incidents, disputes, or consequences arising from interactions with external websites or systems.
The Company may engage independent third-party providers, contractors, processors, or infrastructure partners to support the operation of the Platform and Services, including payment service providers, cloud hosting providers, analytics tools, communication systems, cybersecurity services, file storage solutions, and other operational support services.
These Terms, together with the Company's Privacy Policy, apply exclusively to the use of the Platform and Services operated by the Company and do not extend to any third-party websites, services, applications, processors, or external interactions that are not directly controlled by the Company.
18. Personal Information
The collection, use, storage, transfer, disclosure, and processing of personal data in connection with the Platform and the Services are governed by the Company's Privacy Policy, which forms an integral part of these Terms and should be read together with them.
By accessing, registering on, or using the Platform or Services, you confirm that you have read, understood, and accepted the Privacy Policy and acknowledge that your personal data may be processed in accordance with its provisions.
19. Disclaimer of Warranties and Limitation of Liability
The Company does not guarantee or warrant that the Platform, Services, workflows, communications, Deliveries, or any related functionalities will be uninterrupted, continuously available, timely, secure, error-free, or free from delays, technical interruptions, cyber incidents, compatibility issues, data loss, or operational disruptions.
All Services, Deliveries, Platform functionalities, and related materials are provided strictly on an "as is" and "as available" basis, except where expressly stated otherwise in these Terms or required under mandatory applicable law.
To the fullest extent permitted by applicable law, the Company expressly disclaims all representations, warranties, conditions, and guarantees of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, availability, compatibility, accuracy, non-infringement, uninterrupted access, or security.
To the maximum extent permitted by law, the Company, including its directors, officers, shareholders, employees, affiliates, contractors, Service Performers, subprocessors, suppliers, payment providers, infrastructure providers, and service partners, shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, commercial, reputational, or economic loss, damage, claim, liability, cost, or expense arising out of or related to the use of or inability to use the Platform or Services, regardless of the legal theory asserted.
Without prejudice to the foregoing, and to the extent permitted by applicable law, the total aggregate liability of the Company arising out of or in connection with any specific order, transaction, or claim shall in all circumstances be limited to the total amount actually paid by the Client to the Company for the relevant order giving rise to the claim.
Nothing in these Terms shall exclude or limit liability where such exclusion or limitation is prohibited under applicable law.
20. Severability
If any provision, clause, sentence, or part of these Terms is found by a court, regulator, or competent authority to be unlawful, invalid, unenforceable, or contrary to applicable law, such provision shall be interpreted, limited, or enforced to the maximum extent permissible in order to reflect its original intent as closely as possible under applicable law.
The invalidity, unenforceability, or partial illegality of any provision shall not affect the validity, legality, enforceability, or continued operation of the remaining provisions of these Terms, which shall remain in full force and effect.
21. Termination
These Terms shall remain in force for as long as you access or use the Platform or Services, unless and until terminated by either you or the Company in accordance with these Terms.
You may terminate these Terms at any time by discontinuing all use of the Platform and Services and, where applicable, requesting closure of your account.
The Company may, at its sole discretion and without prior notice where reasonably necessary, suspend, restrict, place on hold, or permanently terminate your account, access to the Platform, ongoing orders, or use of the Services where it reasonably determines or suspects that you have breached these Terms, violated applicable laws, your activity creates compliance or fraud-related risks, you have provided false or misleading information, or your use of the Platform is otherwise inconsistent with its intended lawful and legitimate purpose.
In all cases, you remain responsible for any outstanding obligations, liabilities, fees, completed Services, payment obligations, chargebacks, disputes, or amounts incurred up to the effective date of suspension or termination.
22. Delivery Terms
All completed Services are delivered exclusively in electronic form, either by being made available within the User account on the Platform, transmitted to the registered email address associated with the account, or provided through another digital delivery method expressly supported by the Platform.
Delivery shall be deemed completed at the point defined as "Delivery" under these Terms, regardless of whether the Client has opened, downloaded, reviewed, accessed, or otherwise interacted with the delivered materials immediately after transmission or availability.
Estimated Delivery timeframes are indicative only and do not constitute guaranteed deadlines unless expressly confirmed by the Company in writing as a fixed Delivery commitment. Reasonable variations, delays, interruptions, or adjustments may occur due to operational circumstances, clarification requests, technical issues, infrastructure interruptions, file corruption, external dependencies, force majeure events, or other factors outside the Company's reasonable control.
Where delays are reasonably anticipated, the Company will take reasonable steps to notify the Client using the contact details associated with the account.
23. Complaints
The Company reviews complaints relating to the quality, scope, technical execution, or Delivery of the Services in a structured, consistent, and commercially reasonable manner.
Complaints must be submitted in writing from the email address associated with the User account using the contact details provided on the Platform. Each complaint must contain sufficient detail to enable proper assessment and investigation, including the relevant account details, order number, delivery date, a clear and specific description of the issue, identification of the disputed sections where applicable, and relevant supporting examples or explanations reasonably necessary for review.
Complaints must be submitted within fourteen (14) calendar days from the date of Delivery as defined in these Terms. Complaints submitted after the expiry of this review period may be declined at the Company's discretion, except where otherwise required under mandatory applicable law or where exceptional circumstances are reasonably demonstrated.
Complaints must be based on objective, identifiable, and verifiable issues directly connected to the agreed scope of the Services, including material grammatical, syntactical, or linguistic errors, demonstrable misinterpretation of source content, significant omissions, major formatting inconsistencies, technical corruption of delivered files, or substantial delays in Delivery where no prior notice was provided.
Complaints based solely on subjective preferences, stylistic disagreement, terminology preferences not previously communicated, or requirements not clearly specified at the time of order placement may be rejected.
Where a complaint is considered justified, the Company may, at its sole discretion and as the primary method of resolution, offer reasonable revisions, corrections, or adjustments limited to the original scope of the order.
24. Independent Service Performers and Payout Timing
Orders made through the Platform are performed by independent Service Performers engaged by the Company on a non-exclusive and project-based basis. Service Performers operate in their own professional capacity and are not employees, workers, agents, representatives, partners, or legal affiliates of the Company.
Remuneration relating to a specific order becomes eligible for payout to the relevant Service Performer only after the expiry of the fourteen (14) calendar day complaint period applicable to that order, provided that no complaint, dispute, chargeback, refund request, fraud concern, or review process has been initiated.
Where a complaint, revision request, payment dispute, fraud review, chargeback process, or operational investigation has been initiated within the applicable review period, payout eligibility may be delayed, suspended, adjusted, partially withheld, or cancelled until the matter has been fully reviewed and a final operational resolution has been reached by the Company.
Nothing in these Terms shall be interpreted as creating any employment relationship, worker status, partnership, agency relationship, fiduciary duty, guaranteed workload, or guaranteed income arrangement between the Company and any Service Performer.
25. Payment Terms
All payments for the Services are processed exclusively through independent third-party payment service providers, acquiring institutions, gateways, or financial infrastructure partners operating under their own regulatory, compliance, authentication, fraud prevention, and security frameworks.
The Company does not provide regulated payment services, banking services, e-money services, money transmission, currency exchange, safeguarding activities, custody services, or financial intermediation.
Clients may complete payments using the currencies supported on the Platform from time to time, which may include GBP, EUR, USD, CAD, AUD, PLN, and other supported currencies depending on technical integration capabilities, payment provider availability, regional support, and applicable jurisdictional or compliance requirements.
The Company does not control and shall not be responsible for payment processing outcomes, including payment delays, transaction declines, verification failures, currency conversion discrepancies, banking restrictions, settlement interruptions, technical outages, reversals, blocked transactions, chargebacks, or other issues arising from the operation of third-party payment infrastructure, except where liability cannot lawfully be excluded under applicable law.
26. Refund Policy
Due to the customised, digital, on-demand, and individually allocated nature of the Services, refunds are granted only in limited, justified, and exceptional circumstances in accordance with these Terms.
Refund requests may be considered where the ordered Services were not delivered at all, the order could not be completed due to circumstances attributable to the Company, or the delivered output materially and objectively deviates from the agreed scope of the order in a manner that cannot reasonably be corrected through revisions.
Clients may request cancellation of an order prior to Delivery. Where no work, allocation, preparation, or processing activity has commenced, the Company may, at its discretion, grant a full or partial refund. Where work has already started, resources have been allocated, or part of the Services has already been performed, the Company reserves the right to apply a proportionate charge reflecting the work completed.
Once Delivery has occurred, orders become non-cancellable and generally non-refundable except where otherwise required by mandatory applicable law or where the Company expressly determines otherwise under the complaints procedure.
Refunds will not be granted where the issue relates primarily or exclusively to subjective stylistic preferences, tone preferences, alternative wording expectations, terminology not specified in advance, or requirements that were unclear, omitted, or introduced after work commenced.
All approved refunds are processed exclusively through the original payment method and through the relevant third-party payment service provider involved in the transaction.
27. Confidentiality
All documents, files, source materials, instructions, communications, personal data, and other information provided by the Client in connection with the Services are treated as confidential and handled in accordance with the Company's internal confidentiality, security, and data protection procedures.
Such materials are retained in a secure technical and operational environment for a limited retention period not exceeding one (1) year from the completion of the relevant order, after which they may be permanently deleted, anonymised, archived, or otherwise removed from active operational systems unless a longer retention period is required under applicable law, or retention is necessary for dispute resolution, fraud prevention, compliance, or evidentiary purposes.
Access to Client materials is limited strictly to authorised personnel, independent Service Performers, subprocessors, infrastructure providers, and third-party service providers solely to the extent reasonably necessary for processing the order, performing the Services, conducting quality control, or fulfilling legal, security, compliance, or operational obligations.
The Company does not sell, commercially exploit, publicly disclose, or use Client materials for marketing, training, publication, or unrelated commercial purposes without prior authorisation from the Client.
28. Dispute Resolution
In the event of any dispute, claim, complaint, disagreement, or controversy arising out of or in connection with the Platform, the Services, any order, payment, Delivery, refund request, complaint procedure, or these Terms, the Parties shall first seek to resolve the matter through good faith negotiations and reasonable informal communication before initiating formal legal proceedings.
The Client must initiate the dispute resolution process by contacting the Company through the official contact details provided on the Platform and submitting sufficient information to enable proper assessment of the matter.
The Client further agrees not to initiate unjustified payment disputes, chargebacks, reversals, or external complaints without first attempting to resolve the matter through the internal complaints and dispute resolution procedures described in these Terms, except where such restriction would be prohibited under mandatory applicable law.
29. Arbitration
If any dispute, claim, controversy, or disagreement arising out of or in connection with these Terms, the Platform, the Services, any order, payment transaction, Delivery, complaint, or refund request cannot be resolved through good faith negotiations within a reasonable period of time, such dispute shall be finally resolved by binding arbitration in accordance with the Rules of the London Court of International Arbitration ("LCIA Rules"), which are deemed incorporated into this section by reference.
The seat of arbitration shall be London, United Kingdom. The arbitration proceedings shall be conducted in the English language. The arbitral award shall be final, conclusive, and binding on the Parties and may be enforced in any court of competent jurisdiction.
Nothing in this section shall prevent either Party from seeking urgent interim, conservatory, or injunctive relief from any court of competent jurisdiction where such relief is reasonably necessary to prevent immediate harm.
30. Intellectual Property Rights
Subject to full, successful, and irrevocable payment for the relevant order, all intellectual property rights in the final delivered output specifically created for the Client as part of the Services shall transfer to the Client upon Delivery, unless otherwise expressly agreed in writing between the Parties.
This transfer applies solely to the final version of the delivered output and does not include ownership of or rights to the platform itself, software, translation memories, glossaries, databases, AI-assisted tools, internal workflows, methodologies, templates, automation systems, quality control processes, operational know-how, source code, infrastructure components, or any other pre-existing intellectual property used by the Company or Service Performers during the provision of the Services.
Until payment has been received in full and confirmed as final and non-reversible, all rights, title, and interest in and to the delivered output shall remain vested in the Company.
The Client represents and warrants that all materials, source content, documents, instructions, trademarks, branding elements, and other materials submitted to the Company do not infringe third-party intellectual property rights and that the Client possesses all necessary rights, licences, permissions, and authorisations required for the Company and Service Performers to lawfully process such materials in connection with the Services.
31. Force Majeure
The Company shall not be liable for any delay, interruption, failure, degradation of performance, or inability to perform its obligations under these Terms where such delay or failure results from events, circumstances, or causes beyond the Company's reasonable control, including natural disasters, acts of government, war, armed conflict, terrorist acts, civil unrest, labour disputes, cybersecurity incidents, cloud infrastructure outages, hosting failures, software failures, payment provider disruptions, banking interruptions, power outages, or any other event or circumstance materially affecting the Company's operational ability to perform the Services.
Where a force majeure event occurs, the affected obligations shall be suspended, limited, or reasonably adjusted for the duration of the relevant event and for any reasonable recovery period required to restore normal operations.
32. Governing Law
These Terms, the Platform, the Services, and any dispute, claim, controversy, complaint, or matter arising out of or relating to them shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
Nothing in these Terms shall limit, waive, or exclude any mandatory consumer protection rights, statutory guarantees, or non-excludable legal remedies available under the laws of the Client's country or jurisdiction of residence where such protections apply mandatorily and cannot lawfully be restricted or excluded by contract.
33. Changes to These Terms
The current version of these Terms will always be available on the Platform, and it is your responsibility to periodically review them to stay informed of any revisions, updates, or changes.
The Company reserves the right to revise, modify, update, or replace any provision of these Terms at its sole discretion by publishing the updated version on the Platform. Once the updated Terms are published, they will automatically apply to all Users. Continued access to or use of the Platform or Services following the publication of updated Terms shall constitute your acceptance of those changes.
